Acceptance of these Terms

By accessing or using the Service, you agree to these Terms of Service (“Terms”). If you use the Service on behalf of a company, you represent that you have authority to bind that company.

Eligibility

You must be able to form a legally binding contract under applicable law to use the Service. If you are under 18, you may use the Service only with parental/guardian consent.

Service description

Penguinbot provides software features that may include AI-assisted automation, content generation, workflows, integrations, and related tools (as available on your plan). The Service may change over time (features may be added, modified, or removed).

Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate account information and promptly update it if it changes.

Acceptable use

You agree not to:

  • Use the Service for illegal, harmful, or fraudulent purposes.
  • Infringe intellectual property rights, privacy rights, or other rights of others.
  • Upload or transmit malware, attempt to gain unauthorized access, or disrupt the Service.
  • Reverse engineer, decompile, or attempt to extract source code except to the extent allowed by law.
  • Use the Service to generate or distribute spam or deceptive content.

User content and inputs/outputs

“User Content” includes information, files, prompts, and other materials you submit. You retain ownership of your User Content. You grant Lucentra a limited license to host, process, and transmit User Content only to provide and improve the Service, enforce these Terms, and comply with law.

AI-generated outputs may be inaccurate or incomplete; you are responsible for reviewing outputs before using them, especially for legal, financial, medical, or compliance-related decisions.

Third-party services and integrations

The Service may interoperate with third-party products (e.g., payment processors, analytics, cloud providers, and app integrations). Your use of third-party services is governed by their terms, and we are not responsible for third-party services.

Fees, billing, taxes

If you purchase a paid plan, you agree to pay the fees and applicable taxes. Prices, plan features, and billing intervals will be shown at checkout or in an order form. You authorize us (or our payment processor) to charge your payment method.

Refunds and cancellations

Refund eligibility (if any) and cancellation rules will be described on the checkout page, plan page, or an order form. If no refund policy is specified for a plan, fees are non-refundable to the fullest extent permitted by law. We may issue prorated or goodwill refunds at our discretion.

Intellectual property

Lucentra and its licensors own the Service, including software, interfaces, designs, and branding (excluding your User Content). You receive a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription/usage, subject to these Terms.

Confidentiality (business users)

If you share confidential business information with us, we will use reasonable measures to protect it and use it only as needed to provide the Service, unless required by law or you consent otherwise.

Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

Limitation of liability

To the maximum extent permitted by law, Lucentra will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. To the maximum extent permitted by law, Lucentra’s total liability for any claim relating to the Service will not exceed the amount you paid to Lucentra for the Service in the 3 months before the event giving rise to the claim (or INR 5,000 if you have not paid anything), whichever is higher.

Indemnity

You agree to indemnify and hold Lucentra harmless from claims arising out of your User Content, your use of the Service, or your violation of these Terms or applicable law.

Suspension and termination

We may suspend or terminate access if we reasonably believe you violated these Terms, pose a security risk, or if required by law. You may stop using the Service at any time. Upon termination, your right to use the Service ends; some data may be deleted per our retention practices.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting on the site or via email. Continued use after the effective date means you accept the updated Terms.

Governing law and dispute resolution

These Terms are governed by the laws of India. Courts at [Delhi, India] will have jurisdiction, unless a different dispute resolution method is specified in an order form.
